PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.

1. Agreement to Terms

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ProjectPath.ai ("Project Path," "we," "us," or "our") concerning your access to and use of the Project Path platform and services (the "Services"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Project Path provides an AI-powered, adaptive project execution platform designed to help teams and organizations plan, execute, validate, and evolve complex work. The Services include access to our proprietary software, including the Work Graph, AI Agents, narrative frameworks, and other functionalities as described on our website.

3. Accounts and User Responsibilities

Account Creation: You must register for an account to access the Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Your Content: You are solely responsible for all data, information, files, and other content that you upload, post, or otherwise transmit via the Services ("User Content"). You represent and warrant that you have all necessary rights to your User Content and that its use in connection with the Services does not violate any laws or third-party rights.

4. Fees and Payment

Services are provided on a subscription basis. You agree to pay all applicable fees as described on our pricing page. Fees are non-refundable except as required by law or as explicitly stated in these Terms. Subscriptions will automatically renew unless you cancel your subscription through your account settings before the end of the current subscription period.

5. Acceptable Use Policy

You agree not to misuse the Services. You will not, and will not permit others to:

  • Violate any applicable law or regulation.
  • Infringe on the intellectual property or other rights of third parties.
  • Upload or transmit any data that is unlawful, harmful, or contains viruses or malicious code.
  • Attempt to reverse engineer, decompile, or discover the source code of the Services.
  • Use the Services to develop a competing product or service.

6. Intellectual Property Rights

Your Content: You retain all ownership rights, title, and interest in and to your User Content. You grant Project Path a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely as necessary to provide, maintain, and improve the Services for you.

Our Service: We retain all ownership rights, title, and interest in and to the Services, including all related software, technology, documentation, and intellectual property. This includes our Work Graph technology, AI models, and narrative frameworks.

7. Special Provisions for GxP and Regulated Environments

Shared Responsibility: If you use our Services in a GxP (Good Practice) or other regulated environment, you acknowledge that compliance is a shared responsibility. We are responsible for providing a platform with the features and controls designed to enable compliance (e.g., 21 CFR Part 11 features, audit trails). You are responsible for implementing and validating the Services for your specific intended use, including configuring workflows, managing user access, and adhering to your internal Standard Operating Procedures (SOPs).

No Guarantee of Compliance: While our platform is designed to be "validation-ready," use of the Services does not automatically confer regulatory compliance. You are solely responsible for ensuring that your use of the Services meets all applicable regulatory requirements.

AI Outputs: You acknowledge that the output from our AI agents (e.g., generated reports, summaries) is provided for assistance and review. You are responsible for reviewing, verifying, and approving all AI-generated content before relying on it for any regulated decision or submission.

8. Term and Termination

These Terms will remain in effect until your subscription expires or is terminated. We may suspend or terminate your access to the Services if you are in material breach of these Terms. Upon termination, your right to use the Services will immediately cease, and we may delete your User Content in accordance with our data retention policies.

9. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PROJECT PATH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

IN NO EVENT WILL PROJECT PATH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved through final and binding arbitration.

11. General Provisions

These Terms constitute the entire agreement between you and Project Path. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.
